Terms & Conditions
All exhibitors and trade visitors registered in the Abu Dhabi International Book Fair (“ADIBF”) have accepted these terms and conditions (“Terms & Conditions”) and agree to be bound by them when applying for the grant set by the Abu Dhabi Arabic Language Centre (“ALC”) and offered to eligible offline and online exhibitors and trade visitors. Please read these Terms & Conditions carefully.
ALC has initiated the eBooks and Audiobooks Categories of the Spotlight on Rights Programme (“SoR”) with the aim of supporting and encouraging the conversion of books into eBooks or Audiobooks. For this particular purpose, ALC has provided for a number of cash grants to be given to eligible exhibitors/ trade visitors registered in the offline and online ADIBF (the “Grant”) to support conversion of books, the rights of which are sold within the ADIBF, applicants must be registered as an online or offline exhibitor/trade visitor.
The SoR also aims to build bridges of cultural exchange and create networking opportunities between publishers worldwide. The SoR is targeting exclusively the exhibitors and trade visitors registered at the ADIBF 21 in its two categories: physical and virtual.
Exhibitors and Trade Visitors may be individuals or corporate entities.
2.1. Only Exhibitors/Trade Visitors who have bought rights from other registered Exhibitors or Trade Visitors during ADIBF 2021, and who have duly submitted an Application Form as specified in these Terms & Conditions, are eligible to receive a Grant.
2.2. The following persons are considered not eligible to receive a Grant:
(a) Employees, officers, directors, agents and managers involved in and/or related to managing, executing and running the SoR, or any third party involved in the administration of the SoR (including any advertiser, promotion agency or fulfilment agency of the SoR), together with any other persons specified by law (including immediate family members) as being too closely related to such individuals; and
(b) Residents in a country or jurisdiction where participation in the SoR may breach any law or regulation. Where this applies, ALC will not consider the Exhibitor’s application.
2.3. Exhibitors and Trade Visitors automatically lose their eligibility to participate in the SoR and to be eligible to receive a Grant upon violation (or attempted violation) of these Terms & Conditions or the spirit of these Terms & Conditions.
How to Participate
3.1. Application process:
(a) The application forms are available via the ADIBF Website www.adbookfair.com (”Application Form”) must be completed and signed by two parties as follows:
- The Licensor who is a Trade Visitor or an Exhibitor granting the rights to convert the content into an Audiobook or eBook (the “Licensor”); and
- The Licensee who is an Exhibitor or Trade Visitor acquiring the rights to convert the licensed content into an Audiobook or eBook and applying for the Grant (the “Licensee”).
(b) A Licensee is eligible to several applications for several books.
(c) A Licensee must specify in the Application Form the details of the book to be converted and the type of conversion, (i.e. eBook or Audiobook).
(d) All Exhibitors and Trade Visitors (Licensees and Licensors) must provide valid contact details as part of the application process and are responsible for updating these if there are any changes. ALC reserves the right to check the validity of the information submitted by an applicant at any time.
(e) Any applicant who has not correctly submitted the Application Form will not be able to participate in the SoR or be eligible to receive a Grant.
3.2. Application timeline
Application to the SoR is open until 30 May 2021 (midnight).
3.3. Selection process and requirements
(a) ALC will review all applications received during the Specified Period and will select the Exhibitors/Trade Visitors who will receive a Grant (the “Grant Recipient”);
(b) ALC reserves the rights to accept or reject any number of submitted Application Forms and to select any number of Grant Recipients to receive a Grant.
(c) ALC will select Grant Recipients in its absolute discretion, and all decisions are final and binding in all respects;
(d) If an application is accepted, ALC will send an official letter of acceptance to the Grant Recipient who submitted the Application Form, and request the following documents:
- A valid copy of the signed agreement between the Grant Recipient and the Licensor granting the rights to publish the content in the relevant format, and specifying the validity and term of the license (“License Period”);
- A valid copy of the Grant Recipient’s identification document (Passport or Emirates ID card), or trade licence in the case of a corporate Grant Recipient;
- Any other documents as ALC may reasonably require.
(e) The Grant Recipient must submit the documents under 3.3 (d) within 7 days from receiving ALC’s acceptance letter.
(f) The Grant Recipient must finalize the conversion process within the License Period or 12 calendar months from the date of notification of award of a Grant whichever is shorter.
(g) Upon finalizing the conversion, the Grant Recipient will submit the following:
- an electronic copy of the eBook or a copy of the Audiobook; and
- The links where the eBook or Audiobook are being published online.
(h) Subject to the Grant Recipient complying with the above section 3.3 (d, e, f and g) ALC will award the Grant.
4.1 Based on the conversion type, there are two types of Grants set by ALC as follows:
- US$1,000 to US$2,000 for conversion to eBook format; the eBooks categories is classified as follows:
o Interactive book: for which the Grant is US$2000 for each title
o Non–Interactive books: for which the Grant is US$1,000 for a series of no less than 10 titles.
- US$1,500 to US$2,000 for conversion to Audiobook format.
The payment will be made in two installments: the first upon approval, at 60% of the total value of the subsidy, and the second (40% of the value of the subsidy) upon the presentation of the first copy (draft) of the eBook or Audiobook. December 1, 2021 is the deadline for submitting the copies (drafts).
4.2 The Grant Recipient complying with the above section 3.4 (d, e, f and g) will be awarded the Grant.
4.3 Each Grant Recipient will be wholly responsible for the payment of any tax, insurance or equivalent payment due (if any) in respect of the Grant or any portion of the Grant.
4.4 The Grant is non-transferable. Should any applicant not qualify for the SoR or chose not to take part in the SoR after submitting an application, no substitute Grant will be offered.
4.5 The Grant Recipient is bound, as part of the requirements, to add the ALC and ADIBF and the programme’s logos on all copies, along with the following phrase (applicable for eBooks and Audiobooks, in case of Audiobooks it should be mentioned in the reading):
“This book was converted and published with the support of the ‘Spotlight on Rights’ Programme initiated by the Abu Dhabi International Book Fair (ADIBF) and Abu Dhabi Arabic Language Center (ALC). Neither ADIBF nor ALC are responsible for the content of the book".
5.1 By signing the Application form the licensor warrants and represents that the book subject of the conversion:
(a) is an original work, and the licensee is granted full rights to publish the work in the chosen format;
(b) does not infringe the intellectual property rights (including, without limitation, inventions, patents, copyright, designs, trade secrets, database rights, rights in know-how, rights protecting goodwill and reputation, moral rights or other similar rights in any country, in each case whether or not registered, and any applications for registration of any of the foregoing, and all rights to apply to register any of the foregoing) (collectively, the “IPR”) of any third party; and
(c) does not infringe the image rights of any third party, or any rights of privacy/publicity of any person or entity, or the voice of any third party (for Audiobooks).
5.2 Nothing in these Terms & Conditions shall be construed as ALC granting any Exhibitor or Trade Visitor (Licensees and Licensors) any licence over ALC’s and/or any of its affiliate’s IPR (including, without limitation, trademarks, trade names, copyright in any images, publications and/or other materials produced by, or on behalf of, ALC or any of its affiliates and distributed to Exhibitors or Trade Visitor (Licensees and Licensors) in connection with the SoR).
5.3 In the event that any book is discovered not to be an original work and/or constitutes in any way a breach of a third party’s IPR, ALC will be entitled to disqualify the licensee from the SoR and from being an eligible Grant Recipient.
Collection and Use of Personal Information
6.1 The Exhibitor and the Trade Visitor explicitly consent to ALC and its appointees using any personal information submitted in the Application Form to the extent necessary for the effective conduct of the SoR.
6.2 Exhibitors and Trade Visitors acknowledge and agree that the processing of the personal information of either of them outlined in clause 6.1 above may include the passing of such personal information to third parties. The Exhibitor and the Trade Visitor explicitly acknowledge that such transfers may be to jurisdictions that do not have data protection laws that are either equivalent or stricter than those of the participant’s country of residence, and they consent to such transfer.
7.1. All correspondence and information submitted throughout SoR must be in English and/or Arabic.
7.2. The Exhibitor and Trade Visitor agree jointly and severally to indemnify ALC (and its officers, employees and agents) against, and hold the foregoing harmless from, any damages, liabilities, losses, or expenses incurred or arising directly or indirectly out of their participation in the SoR including, without limitation, an Exhibitor’s or Trade Visitor’s breach of these Terms & Conditions (including, without limitation, any warranty in relation to third party rights); or negligent or fraudulent acts or omissions in relation to the SoR.
7.3. ALC assumes no responsibility or liability for any loss arising out of or from user errors; or late, lost, delayed, damaged, misdirected, incomplete or unintelligible Application Forms.
7.4. To the extent permitted by law, ALC may terminate or modify the SoR or modify these Terms & Conditions at any time, by posting the revised Terms & Conditions. Where these Terms & Conditions are made available in more than one language, the English language version will prevail in the event of any inconsistency.

7.6. The Terms & Conditions are governed by the laws of the Emirate of Abu Dhabi and such Federal Laws of the United Arab Emirates as are applicable to the Emirate of Abu Dhabi.
7.7. If any provision of these Terms & Conditions is declared by any court of competent jurisdiction to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions contained in these Terms & Conditions will be not affected or impaired in any way.
7.8. These Terms & Conditions govern the conduct of the SoR only. Save as expressly set out herein, nothing in this shall create any contract or relationship of employment or agency between ALC and the Exhibitors or Trade Visitors.
